The CNMC unconditionally approves Ohmnia Electronics' takeover bid for Azkoyen

The industrial group from Álava, belonging to Clerbil, the investment company of the family office of José Antonio Jainaga, president of Talgo and Sidenor, will be able to proceed with the takeover bid for 100% of the multinational, specialised in vending machines, payment methods, and access control.

Ohmnia Electronics' takeover bid for Azkoyen advances after receiving the green light from the National Commission on Markets and Competition (CNMC). The agency has authorised the operation without imposing any commitments, which means compliance with one of the conditions established in the offer.

The CNMC's resolution was issued on 25 September, under Article 57.2.a) of the Competition Defence Act, "without subjecting it to the fulfilment of any commitments", as the company has notified the National Securities Market Commission (CNMV).

Thus, the industrial group from Álava, belonging to Clerbil, the investment company of the family office of José Antonio Jainaga, president of Talgo and Sidenor, will be able to proceed with the takeover bid for 100% of the multinational, specialised in vending machines, payment methods, and access control.

Furthermore, Ohmnia has also obtained 'the green light' from the German competition authority, which ruled on 7 September 2026 that the offer "does not meet the prohibitive conditions set out in the applicable regulations and, therefore, can be executed without conditions". In addition, it has been admitted for processing by the CNMV as it understands that "the brochure and other documents submitted, following the supplementary documentation and the modifications registered on 31 August and 1 September, comply with the provisions of that article".

It is worth noting that in July of this year, Ohmnia submitted a public takeover bid (OPA) for 100% of the Navarre multinational Azkoyen for an amount of 244 million euros, equivalent to 10 euros per share. The operation involves the participation of its usual partners — the Lequerica family, Finkatuz, and the Vital Banking Foundation — joined by the BBK Banking Foundation and Indar Kartera, an investment vehicle of Kutxabank.

After the operation, the resulting group will achieve a turnover close to 400 million euros, an EBITDA of 65 million, and a workforce of approximately 2,000 employees.
